Terms of Service

Effective Date: October 5, 2026 • Version 3.4

Binding Legal Agreement: By accessing BreezeSwap, generating a deposit address, or initiating any standard or private swap transaction, you acknowledge that you have read, understood, and irrevocably agreed to be bound by these Terms of Service, our Privacy Policy, our Risk Disclosure, and our AML/KYC Compliance Policy.

1. Legal Status & Non-Custodial Aggregator Architecture

1.1. Software Interface Role: BreezeSwap (“Platform”, “we”, “us”, or “our”) operates exclusively as an independent, non-custodial software routing interface and liquidity aggregation protocol. BreezeSwap is not a bank, custodian, fiduciary, depository institution, money transmitter, or traditional Virtual Asset Service Provider (VASP) holding customer balances.

1.2. Third-Party Liquidity Providers: All exchange quotes, one-time deposit addresses, cross-chain bridges, and settlement executions are provisioned dynamically by independent, vetted third-party liquidity providers, market makers, and automated clearing partners (“Execution Partners”). At no point does BreezeSwap possess, store, custody, or control your private keys or deposited funds.

1.3. Pass-Through Terms: By initiating a swap through our interface, you authorize BreezeSwap to transmit your transaction parameters to the designated Execution Partner and agree that your transaction is simultaneously subject to the operational risk controls, settlement rules, and compliance screenings of the underlying Execution Partner.

2. Standard Swaps vs. Private Tunnel (Multi-Hop) Routing

2.1. Standard Flow: Standard swaps route your digital assets through a single optimal liquidity corridor for fastest execution (typically 2 to 10 minutes).

2.2. Private Tunnel (Dual-Provider Routing): When you select the “Private Tunnel” or “Private Mode” option, BreezeSwap routes the transaction sequentially across two independent, non-affiliated Execution Partners using a randomized intermediate Layer-1 settlement asset. This dual-hop architecture prevents any single liquidity provider from simultaneously observing both the originating wallet address and the final destination wallet address.

2.3. Compliant Privacy (No Pooling / Not a Mixer): You expressly acknowledge that BreezeSwap's Private Tunnel is a compliant multi-hop routing mechanism and is not a cryptocurrency mixer, tumbler, or coin-pooling service. User funds are never commingled or pooled with other users' assets. Every hop is executed through regulated or KYT-screened liquidity venues.

3. Eligibility & Prohibited Jurisdictions

3.1. Corporate & Age Representation: You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have full legal capacity to enter into this Agreement.

3.2. Restricted & Sanctioned Territories: You may not initiate exchanges or otherwise use the exchange services of BreezeSwap if you are located in, incorporated in, or a citizen or resident of any of the following Prohibited Jurisdictions. Informational pages may be viewable from these locations, but this does not permit use of the Service:

  • The United States of America (including all U.S. states, Washington D.C., Puerto Rico, Guam, and U.S. Virgin Islands);
  • United Arab Emirates (UAE), the United Kingdom, and India;
  • North Korea (DPRK), Iran, Syria, Cuba, Sudan, and South Sudan;
  • The Crimea, Donetsk (DNR), Luhansk (LNR), Zaporizhzhia, and Kherson regions;
  • Russian Federation and Republic of Belarus;
  • Afghanistan, Myanmar (Burma), Libya, Somalia, Yemen, Venezuela, Zimbabwe, Mali, Central African Republic, Democratic Republic of the Congo, Nicaragua, and Haiti;
  • Any jurisdiction subject to comprehensive embargoes or sanctions lists administered by OFAC (U.S. Treasury), the United Nations Security Council, the European Union, or HM Treasury (UK OFSI).

3.3. Anti-Circumvention Rule: The use of Virtual Private Networks (VPNs), Tor, proxy servers, or spoofing tools to mask your true geolocation or circumvent Prohibited Jurisdiction controls is strictly prohibited and constitutes a material breach of these Terms, which may result in immediate order termination and asset freezing by the underlying Execution Partner.

4. Exchange Rates, Slippage, Minimums & Limits

4.1. Floating Rate Execution: Unless explicitly designated as a locked fixed quote, all exchange rates are floating. The final output amount is determined at the exact moment your deposit receives the required number of blockchain confirmations and is credited by the Execution Partner. BreezeSwap is not liable for market volatility or rate fluctuations occurring while your transaction is pending in the blockchain mempool.

4.2. Quote Expiration & Multi-Hop Minimums: Private Tunnel swaps require a strict minimum USD equivalent floor (typically $26 USD equivalent) and adhere to maximum single-transaction liquidity caps (e.g., $60,000 USD equivalent). Sending an amount below the stated minimum (`minAmount`) or after the quote validity window expires may result in failed execution or non-refundable loss if network gas fees exceed the deposited amount.

4.3. Service & Network Fees: BreezeSwap's service fee is up to 0.4% of the exchange amount and is already included in the displayed exchange rate. There are no additional service fees. The Execution Partner's liquidity fees and the blockchain network fees for sending your payout are also already included in the estimated amount you receive. The only cost not included is the network fee charged by your own wallet when you send the deposit transaction.

4.4. No Best-Rate Guarantee: BreezeSwap does not guarantee that its rates or fees are the lowest available on the market. Only a fixed-rate quote is guaranteed, and only within its stated validity window and when the deposit exactly matches the quoted amount and network.

5. User Responsibilities, Wrong Networks & Recovery Policy

5.1. One-Time Deposit Addresses: Each generated deposit address is valid for a single transaction only. Sending multiple deposits to the same address or reusing a historical deposit address will result in delayed or permanently lost funds.

5.2. Network Standards & Destination Tags (Memo / Extra ID): You are solely responsible for selecting the exact blockchain network (e.g., ERC-20 vs. TRC-20 vs. BEP-20 vs. Solana) and including mandatory Destination Tags, Memos, or Payment IDs (for assets such as XRP, XLM, TON, ATOM, EOS).

5.3. Unsupported Cross-Chain Deposits & Manual Recovery Fee: Because BreezeSwap does not hold private keys to deposit addresses, if you send assets via an unsupported network, wrong smart contract, or without a required Memo/Tag, recovery depends entirely on the technical capability and policies of the underlying Execution Partner. Where manual recovery is feasible, the Execution Partner may take up to 14 to 30 business days and in some cases deduct an administrative recovery fee of up to $50 USD equivalent, plus network gas fees. Many cross-chain errors are permanently irrecoverable on the blockchain.

6. Automated AML/KYT Screening, Holds & Refunds

6.1. Registration & Identity Verification: BreezeSwap does not require account registration. Identity verification (KYC) is not required for most swaps, but our Execution Partners may request it at any time — for example, when a deposit is flagged by automated risk screening, or for residents of certain jurisdictions (including the European Union, Japan, South Korea, Singapore, Hong Kong, Australia, and Canada).

6.2. Risk-Based Screening: All incoming deposits undergo real-time automated Know-Your-Transaction (KYT) blockchain analytics performed by our Execution Partners.

6.3. Compliance Holds & Verification Triggers: If your deposit is flagged as high-risk (including association with darknet markets, ransomware, stolen funds, sanctioned entities, or unauthorized mixing services), the Execution Partner will automatically pause the swap (`Verifying` / `Hold` status) and require Know-Your-Customer (KYC) identity verification and proof of Source of Funds (SoF).

6.4. Verification Timeframes & Refund Rules: You agree to cooperate with compliance requests by providing requested documentation within the specified verification window. If a transaction is eligible for a refund following review, the refund will be returned solely to the originating sender address (or verified refund address) minus applicable network gas fees and partner processing charges. Where required by law enforcement warrants or international sanctions regulations, the Execution Partner may freeze illicit funds indefinitely.

7. Limitation of Liability & Indemnification

7.1. “AS IS” Provision: The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind. BreezeSwap does not warrant uninterrupted API availability of third-party Execution Partners or immunity from blockchain congestion or hard forks.

7.2. Liability Cap: To the maximum extent permitted by applicable law, neither BreezeSwap nor its operators, developers, or affiliates shall be liable for any indirect, incidental, consequential, or punitive damages, loss of profits, slippage, or funds frozen by third-party Execution Partners due to AML/KYC flags or user routing errors. In all events, BreezeSwap's aggregate liability for any claim shall not exceed the net interface commission actually received by BreezeSwap from the specific disputed transaction.

8. Dispute Resolution & Contact

Any dispute arising out of or relating to these Terms shall first be submitted to our compliance and support team for formal resolution for a period of thirty (30) days. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
